YEAR                       EVENTS
 1969 - The Company was incorporated on 15th February at Calcutta. 
 The
        main objects of the Company is manufacturing and processing
 and
        dealing in all kinds of yarns and fabrics including
 synthetics
        yarn like nylon and polyester.  The Company was promoted by
        Hastings Mills Ltd. 
 
      - The Company entered into a technical collaboration agreement
 with
        Chemtex Fibres Inc. and Chemtex Overseas Inc. both of U S A.
 
      - Two more texturising machines were added for the manufacture
 of
        nylon texturised yarn.
 
 1980 - 10,32,500 Right equity shares issued (prop. 2:5; prem. Rs
 7.50
        per share).  3,42,853 No. of equity shares then issued to
        financial institutions (prem. Rs 7.50 per share) in conversion
 of
        loans.
 
 1981 - The polycondensation plant was commissioned.
 
 1982 - 57,142 No. of equity shares issued (prem. Rs 7.50 per share)
 in
        conversion of loan in 1981-82.  634 No. of equity shares
        forfeited in 1982-83.
 
 1983 - 16,05,244 bonus equity shares issued in prop. 2:5.
 
 1984 - The licensed capacity of polyester filament yarn was enhanced
 
        from 576 tonnes to 2056 tonnes per annum.  Subsequently, the
        Company received letter of intent for the expansion of
 polyester
        filament yarn capacity further to 15,000 tonnes per annum.
 
      - The Company issued 3,50,000-15% non-convertible debentures of
 Rs
        100 each for Rs 350 lakhs for working capital requirements
 and
        for on going capital expenditure.
 
      - 4,984 forfeited equity shares either reissued for forfeiture
 on
        them annuled.
 
 1985 - The Company issued 3,00,000-15% secured redeemable
        non-convertible debentures of Rs 100 each for working capital
        needs.
 
 1986 - The Workers went on a strike for 79 days which became the
 main
        cause for fall in production.  The Company entered into a 5
 years
        agreement with the workers.
 
 1988 - Government approval was received and steps were taken to
 increase
        the yarn manufacturing capacity to 15000 TPA.
 
      - The Company undertook to set up a polycondensation plant with
 a
        manufacturing capacity of 20 tonnes per day of polyester
 chips.
        This is part of the balancing-cum-modernisation programmes
        undertaken by the Company.
 
 1989 - The Company commissioned another polycondensation plant to
 make
        the Company self-sufficient its requirement of polyester
 chips.  
        The Co. had developed technology for production of bright
 nylon-6
        yarn.  It has also developed checking slides for bacterial
 growth
        in spin finish oil which were being imported.  There was a 
        proposal for merger/amalgamation of Bengal Paper Mills
 Company
        Ltd. within the Company.
 
      - During October/November, the Company offered 35,42,000-12.5%
        secured redeemable partly convertible debentures of Rs 50
 each
        for cash at par on rights basis in the ratio 3 debentures: 5
        equity shares held, inclusive of over subscription retainable
        upto 15% amounting to 4,62,000 debentures (35,42,000
 debentures
        taken up).
 
      - Simultaneously another 1,77,100 debentures were issued to
        employees on an equitable basis inclusive of retainable over
        subscription of 23,100 debentures (1,54,000 debentures taken
 up).
 
      - The convertible portion of Rs 30 of each debenture was to be
        compulsorily converted into one equity shares of Rs 10 each at
 a
        premium of Rs 20 per share at the end of six months from the
 date
        of allotment of debentures.  Accordingly, 36,96,000 No. of
 equity
        shares were allotted on 27th June, 1990.
 
      - The non-convertible portion of Rs 20 of each debenture was to
 be
        redeemed in 2 equal instalments at the expiry of 8th and 9th
 year
        from the date of allotment of debentures.
 
 1990 - The operations were adversely affected due to political
        instability, steep rise in the excise duty on nylon and
 polyester
        filament yarns and the Gulf crisis.  Several new products
 were
        developed and introduced in the market.
 
      - The company undertook to set up a PSA system based Nitrogen
 plant
        and a 132 KVA sub-station.
 
 1991 - The performance of the Company was affected due to rise in
 excise
        duty on nylon and polyester filament yarns, rise in the prices
 of
        raw materials and tough competition in the market.
 
 1992 - The performance of the Company continued to be affected due
 to
        various unfavourable factors, viz., recession in the textile
        industry, continued financial crunch and poor off-take of
 cloth
        reflected adversely on the off-take of nylon and polyester
        filament yarns.
 
 1993 - 93,19,339 Rights equity shares (prem. Rs. 15; prop. 1:1)
 during
        November 1993 (2,424 shares kept in abeyance).
 
 1994 - Other new introductions were rotoset NSY and dope dyed yarns. 
 A
        further fillip was provided by the Govt. by slashing of
 excise
        duties on synthetic filament yarns, apart from streamlining
 of
        customs duties.
 
      - Plans for installation of High Speed POY line from Mitsubishi
 was
        installed adding a further 2000 tonnes to company's annual
        production.
 
      - The Company issued 10,00,000-16.5% secured redeemable NCDs of
        each aggregating Rs 1000 each on private placement with UTI.
 
      - The Company issued and allotted 7,50,000 No. of equity shares
 of
        Rs 38.80 per share (inclusive of premium) each with nine
        detachable warrants with a right to subscribe/equity shares
 per
        warrant at Rs 42.70 (inclusive of premium) to promoters,
 their
        relatives, friends, associates etc.
 
      - 1,589 shares kept in abeyance from previous Right issue,
 issued.
        7,50,000 shares allotted on private placement basis with
        promoters.
 
 1996 - One POY line during March was installed enabling the Company
 to
        produce POY Micro Yarn.
 
      - The company undertook various measures viz. production of
 value
        added products, extensive cost reduction measures, reduction
 in
        down gradation of the production etc. to improve the working
 of
        the company.
